THESE TERMS AND CONDITIONS (“Terms”) govern your use of our website and engagement of our services. By visiting our site or retaining our services, you agree to be bound by these Terms, effective May 2023.

CONSULTATIONS:

• You are entitled to one free 40-minute initial consultation for business formation services.
• Any time beyond the free 40-minute session, whether via phone, email, in person, text, or virtual meeting, is billable under section "Development Services" or at any business formation rate specified in your Service Agreement.
• To schedule additional consultation time, you must confirm availability and remit full prepayment in advance; your appointment will be secured only upon receipt of payment.

BUSINESS FORMATION SERVICES:

• Engagement is subject to the scope, deliverables, and fees set forth in your Service Agreement.
• You must submit payment followed by signing the service agreement to commence services.
• By submitting payment, you irrevocably accept the terms of our Service Agreement and authorize us to commence services. All payments are final and non-refundable, irrespective of the subsequent execution of the formal agreement.

DEVELOPMENT SERVICES:

• Development work (including design, integrations, “I-need-to-run-something-by-you” calls, research, or troubleshooting) is billed at $50 per hour.
• All calls, emails, Zoom sessions and ad-hoc requests beyond the free initial consultation fall under this rate.
• Time is rounded to the nearest 15-minute increment, with a one-hour minimum per session.
• Client may terminate ongoing development services only by providing at least 14 calendar days’ prior written notice. Services and billing will continue through the 14-day notice period. If Client fails to deliver the required notice, Client remains responsible for fees covering the full 14-day period following actual notice of termination.

FEES & PAYMENT:

• We accept credit cards (Visa, MasterCard, American Express), ACH/wire transfers, and other methods as noted on your invoice.
• An invoice will be sent upon execution of the Service Agreement and receipt of payment.  
• Development services invoices are issued weekly.
• All invoices are due upon receipt. Work will not proceed until payment has been confirmed.
• Client is responsible for any fees imposed by third-party service providers (including, without limitation, transaction, processing or platform fees). We shall not be liable for, nor reimburse any such third-party charges.

NO REFUNDS: All fees paid for any services, including, but not limited to: consultations, business formation, development work, research, filings, deliverables, etc., are fully earned upon payment and are non-refundable.

TERM CHANGES: We reserve the right to modify these Terms at any time.  Any changes will be effective upon posting to our website.  Continued use of our site or services constitutes your acceptance of the revised Terms.

GOVERNING LAW: These Terms govern your use of our website and engagement of our services, regardless of where you reside or conduct business. By visiting our site or retaining our services, you expressly agree that these Terms apply to you in full.
